§ 1. Subject Matter of the Contract and Performance
- The subject matter of the contract is governed by the offer prepared by Basiliscus Film GbR.
- Within the scope of the agreed subject matter of the contract, Basiliscus Film GbR determines and is responsible for how the contract is performed. Changes to the scope of services after the start of production are only possible by mutual agreement and in writing. Basiliscus Film GbR is entitled at any time to reject short-notice change requests by the client that are not feasible.
- Basiliscus Film GbR undertakes to carry out the services assumed under the contract with due care and in accordance with the principles of proper professional practice.
- Written offers submitted remain valid for three months, unless they are replaced beforehand by new versions resulting from renegotiations.
§ 2. Booking a Production
- Bookings are made by telephone or e-mail. For new clients, a written booking is required. The order confirmation is provided by the same means.
§ 3. Appointments and Cancellations
If performance deadlines have been agreed, they begin to run as soon as the contracting parties have agreed on all details of the project and the client has provided Basiliscus Film GbR with all documents or other information to be supplied under the contract.
Both contracting parties shall endeavour to meet agreed appointments. Unless otherwise agreed in the contract, cancellation of an appointment by the client is free of charge up to 1 week (2 weeks for industrial film productions) before the start of filming. A mutually agreed postponement of a scheduled location scouting or production date by the client is free of charge.
If no alternative date can be found by mutual agreement, Basiliscus Film GbR charges the following cancellation fees:
ENG Production:
- cancellation of an appointment up to 3 days before the agreed start of production: 20 % of the agreed fee
- cancellation of an appointment up to 2 days before the agreed production date: 50 % of the agreed fee
- cancellation of an appointment up to 1 day before the agreed production date: 75 % of the agreed fee
- cancellation of an appointment less than 24 hours before the agreed production date: 100 % of the agreed fee
Industrial Production:
- cancellation of an appointment up to 1 week before the agreed start of production: 20 % of the agreed fee
- cancellation of an appointment up to 3 days before the agreed production date: 50 % of the agreed fee
- cancellation of an appointment up to 2 days before the agreed production date: 75 % of the agreed fee
- cancellation of an appointment less than 48 hours before the agreed production date: 100 % of the agreed fee
- in the event of non-appearance at the agreed appointment, the full agreed fee plus agreed expenses will be invoiced.
- If the full service is not used, there is no claim to reimbursement for the unused portion.
Media Training PLUS:
- Cancellation of our Media Training PLUS / individual coaching is free of charge up to 48 hours before the training.
- For a cancellation less than 48 hours before a scheduled appointment, we will invoice you 100 % of our agreed service. The same applies if you fail to appear at an appointment without prior cancellation.
In the event of cancellation of location scouting or filming dates due to illness of Basiliscus Film GbR, force majeure or other unforeseen events, there is no claim to the performance of the location scouting or filming dates. There is no claim to reimbursement of travel and accommodation costs or loss of earnings. No liability is accepted for indirect damages and third-party claims.
§ 4. Termination of the Contract
- Both parties may terminate the contract without giving reasons by giving four weeks' notice.
- If the contractual relationship ends prematurely, Basiliscus Film GbR is entitled to remuneration for the services rendered up to that point.
§ 5. Confidentiality
- Basiliscus Film GbR undertakes to treat business and private information received in the course of its work as confidential. Video and audio recordings produced are used exclusively within the contractually agreed scope. Any other use requires the express written consent of the client and, where applicable, the client's customer.
§ 6. Copyright and Retention of Title
- The client may use the image and sound recordings produced by Basiliscus Film GbR within the scope of its production only within the contractually agreed scope. Any further use (in particular for other media), publication, sale, third-party exploitation or transfer (including in extracts) to third parties (with the exception of the customer for whom the production is intended) requires the express written consent of Basiliscus Film GbR. The copyright remains with Basiliscus Film GbR.
- Basiliscus Film GbR retains title to all services rendered in the course of location scouting and filming, as well as to the image and sound recordings produced, until its fee claims have been settled.
§ 7. Obligations of the Client
- The client undertakes to provide Basiliscus Film GbR with the necessary support free of charge and to make available the information required to carry out the services agreed under the contract. The client shall ensure adequate working conditions at the project location. Where applicable, the client shall provide suitable premises for carrying out the production.
§ 8. Remuneration
- Basiliscus Film GbR invoices its services according to the previously agreed daily fees or flat rates.
- Daily fees apply to 10 hours, which include a break of 1 hour. Overtime is charged at one tenth of the daily fee plus a 25% overtime surcharge. If a daily working time of 14 hours is exceeded, the overtime surcharge for all overtime worked on that day is increased to 50%. The offsetting of overtime and undertime, e.g. in the case of multi-day productions, is not possible.
- A daily flat rate must be expressly agreed as such in advance of a production and covers all working hours of a production day. To assess the effort involved, in this case the client must inform Basiliscus Film GbR of the planned working hours per day before the contract is concluded. If the actual daily number of working hours during the production exceeds the number of daily working hours stated in advance by more than 10%, Basiliscus Film GbR reserves the right to adjust the daily flat rate for the days concerned accordingly, in consultation with the client.
- Travel time counts as working time, at the latest from the meeting point and at the earliest until the return to the client. If a meeting is arranged directly at the production location, departure from Basiliscus Film GbR, Frobenstraße 11, 10783 Berlin counts as the start and the return to Basiliscus Film GbR as the end of working time. Break time counts as working time. Journeys by own car outside Berlin exceeding 20 km one way are charged at €0.40 / kilometre.
- In exceptional cases, a so-called "half day" may be agreed. These are production days with an expected continuous working time (as defined above) of less than 5 hours. Such a production must be expressly registered as a "half day" directly upon booking. A reduced daily rate amounting to 80 % of the usual daily fee is charged as the fee. A subsequent declaration of a regular booking as a "half day" is not possible for organisational reasons. If the limit of 5 working hours on the production day is exceeded, a full daily fee will be invoiced.
- For multi-day productions, the client bears the costs of expenses, accommodation and meals for Basiliscus Film GbR, as well as, where applicable, the costs of separate travel to and from the project location.
- Working days that serve exclusively for travel to or from the production location are charged as travel days according to the effort involved, subject to prior agreement with the client.
- All agreed remuneration is understood, in the case of Basiliscus Film as an artistic GbR, as net prices plus 7 % VAT. If the statutory VAT rate changes within the agreed contract period, the two periods with the different VAT rates are deemed to be agreed separately.
- Invoicing takes place after completion of the assignment, unless expressly agreed otherwise. For services rendered over a period exceeding 30 calendar days, Basiliscus Film GbR issues monthly interim invoices.
- Travel costs and expenses to be reimbursed are invoiced separately after completion of the assignment, unless expressly agreed otherwise in writing.
- All invoices are payable within 14 days of receipt of the invoice without deduction. Set-off or the assertion of rights of retention against due fee claims of Basiliscus Film GbR is only permitted if the client's claim is undisputed or has been legally established. If the invoice amount has not been received within 14 days of the invoice date, the client is in default of payment and Basiliscus Film GbR is entitled to claim and invoice default interest at a rate of 5% above the base rate.
§ 9. Place of Jurisdiction
- The place of jurisdiction is – where permissible – Berlin.
§ 10. Final Provision – Severability Clause
- Written agreements supersede all previous agreements on their subject matter. Amendments and additions must be made in writing. The client's purchasing terms do not apply.
- An assignment of claims arising from a contract concluded with Basiliscus Film GbR is not permitted.
- A contract concluded with Basiliscus Film GbR is subject to German law.
- Should any provision of these terms and conditions be or become invalid, this shall not affect the validity of all other provisions or agreements.
